Terms of Service
Effective date: March 23, 2026
These Terms of Service (“Terms”) govern your access to and use of the Clear Culture platform, website at clearculture.ai, and related services (collectively, the “Service”) provided by Clear Culture, Inc. (“Clear Culture,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. The Service
Clear Culture provides a B2B SaaS platform that enables companies to collect anonymous sentiment feedback about their managers from employees, view aggregated scores on a company dashboard, and earn a “Clear Culture — Colleague Approved” badge when eligible thresholds are met.
The Service is available exclusively to companies operating in the Seattle, Washington metropolitan area through June 30, 2027, after which availability may expand at our discretion.
2. Accounts and Access
To access the dashboard, an authorized representative of your company must be provisioned by Clear Culture. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify us immediately at support@clearculture.ai if you suspect unauthorized access to your account.
3. Customer Responsibilities
As a customer, you agree to:
- Use the Service only for its intended purpose of collecting and viewing manager feedback
- Ensure that employees invited to submit ratings are employed by or contracted with your organization and are submitting feedback voluntarily
- Not use the Service to retaliate against or identify individual employees who submitted ratings
- Not attempt to reverse-engineer, scrape, or extract data from the Service beyond your authorized access
- Comply with all applicable employment and privacy laws in your use of the Service
4. Rating Anonymity Guarantee
Clear Culture is engineered so that individual rating submissions cannot be attributed to a specific employee. Rating records contain no email address, name, or other identifying information. Customers acknowledge that this anonymity is a core feature of the Service and agree not to attempt to circumvent it through technical, legal, or other means.
Attempts to de-anonymize ratings or identify individual raters constitute a material breach of these Terms and may result in immediate termination of the account.
5. Fees and Payment
Pricing is as stated in your executed order form or pilot agreement. All fees are due in accordance with the payment terms in that agreement. Clear Culture reserves the right to suspend access to the Service if fees remain unpaid for more than 30 days past the due date.
Unless otherwise stated in your agreement, all fees are non-refundable.
6. Intellectual Property
The Service, including its design, software, content, and the “Clear Culture — Colleague Approved” badge and associated marks, is owned by Clear Culture, Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of any Clear Culture intellectual property.
Badge eligibility is determined solely by Clear Culture based on rating scores at the time of evaluation. Display of the badge is a limited, revocable license granted to eligible customers and does not imply endorsement beyond the scope of the Service.
7. Data Ownership
You retain ownership of the information your organization provides to Clear Culture (such as company details and manager names). You grant Clear Culture a limited license to use that data to provide and improve the Service.
Rating data collected through the Service is owned by Clear Culture. Aggregated, de-identified rating data may be used by Clear Culture for benchmarking, product improvement, and research purposes.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Clear Culture does not warrant that the Service will be uninterrupted, error-free, or that any specific outcome (including talent retention, hiring improvements, or manager behavior change) will result from use of the platform.
10. Limitation of Liability
To the maximum extent permitted by law, Clear Culture's total liability to you for any claims arising out of or related to the Service shall not exceed the fees paid by you in the 12 months preceding the claim. In no event shall Clear Culture be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
11. Term and Termination
These Terms remain in effect for the duration of your subscription or pilot agreement. Either party may terminate for cause upon written notice if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving notice.
Upon termination, your access to the Service will be disabled. We will retain your data for up to 90 days following termination, after which it will be deleted from our systems, subject to legal hold obligations.
12. Governing Law
These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in King County, Washington, and both parties consent to personal jurisdiction in those courts.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify active customers via email and update the effective date above. Continued use of the Service after updated Terms are posted constitutes acceptance of the changes.
